1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and B2csupply Ltd, doing business as B2csupply Ltd ("Company," "we," "us," or "our").   • Shipping & Risk of Loss: Title to Products and risk of loss passes to you upon delivery to the carrier. Shipping dates are estimates only and are not guaranteed. We are not liable for delays caused by carriers or force majeure events.

  • Returns & Refunds: All sales are subject to our separate Return and Refund Policy, available on the Site.

5. Intellectual Property Rights
The Site, Products, Services, and all content, features, and functionality thereof (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The "B2csupply Ltd" name and logo are our trademarks. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for personal, non-commercial use. No right, title, or interest is transferred to you.

    WE ARE NOT LIABLE FOR DAMAGES ARISING FROM IMPROPER INSTALLATION, MISUSE, MODIFICATION, OR NEGLIGENT USE OF OUR PRODUCTS.

9. Disclaimers of Warranty
THE SITE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. 10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOHLER CORE CONCEPTS LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM OR RELATED TO YOUR USE OF THE SITE, PRODUCTS, OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING HEREUNDER SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

11. Indemnification
You agree to indemnify, defend, and hold harmless B2csupply Ltd and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site, Products, or Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

12. Termination
We may suspend or terminate your access to the Site or Services, at our sole discretion, without notice and liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

13. Dispute Resolution; Arbitration; Class Action Waiver

  • Informal Resolution: You agree to first attempt to resolve any dispute, claim, or controversy informally by contacting us at alex@aeblind.com.

  • Binding Arbitration: If informal resolution fails, any dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Denver, Colorado. Judgment on the award may be entered in any court of competent jurisdiction.

  • Waiver of Class Actions: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Governing Law and Venue
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. For any claims not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado.

15. International Use
We make no representation that the Site, Products, or Services are appropriate or available for use in locations outside the United States. Access from territories where content is illegal is prohibited.

16. Miscellaneous
These Terms constitute the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver. If any provision is found invalid, the remaining provisions remain in effect. You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely. Notices to you may be made via email or posting on the Site.
